Gatorz, an American maker of performance eyewear, has signed a plan to merge with Simo Holdings, the parent company of No Fear retail stores that were previously owned by Orange 21, the parent company of Spy Optic. Simo will sell all of the stock it holds in No Fear to Gatorz, in exchange for more than 99 million common shares of Gatorz and 52 million restricted common shares of Gatorz. NF Acquisition Corporation, a wholly owned subsidiary of Gatorz, will merge into No Fear, in a reverse takeover of Gatorz by No Fear. After this deal is complete, Simo Holdings will own more than 159 million common shares of Gatorz, or 80 percent of its outstanding common shares.
